Agreement to Terms

By accessing and using the ODATK procurement platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Platform.

• • "Platform" refers to the ODATK procurement platform available at odatk.com and related services.
• • "Buyer" refers to companies or individuals using the Platform to source products or services.
• • "Supplier" refers to companies or individuals offering products or services through the Platform.
• • "RFQ" refers to Request for Quotation submitted by Buyers through the Platform.
• • "Transaction" refers to any procurement transaction facilitated through the Platform.

Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

• • Provide accurate, current, and complete information
• • Maintain the security of your account credentials
• • Notify us immediately of any unauthorized access
• • Accept responsibility for all activities under your account

Platform Services

ODATK provides a procurement platform that facilitates connections between Buyers and Suppliers. Our services include:

• • RFQ creation and management
• • Supplier matching and verification
• • Quote comparison and analysis
• • Transaction facilitation
• • Logistics coordination
• • Quality assurance support

ODATK acts as an intermediary and does not take title to goods, manufacture products, or provide warranties for products supplied by third-party Suppliers.

Buyer Responsibilities

• • Provide accurate and complete RFQ specifications
• • Make timely decisions on supplier selection
• • Fulfill payment obligations according to agreed terms
• • Provide necessary documentation for customs clearance
• • Conduct quality inspections upon delivery

Supplier Responsibilities

• • Provide accurate company and product information
• • Submit competitive and accurate quotes
• • Meet quality standards and delivery timelines
• • Provide necessary product certifications and documentation
• • Comply with all applicable laws and regulations

ODATK charges service fees for transactions facilitated through the Platform. Fees may include:

• • Platform usage fees
• • Transaction facilitation fees
• • Logistics coordination fees
• • Quality inspection fees

All fees will be clearly disclosed before transaction confirmation. Payment terms are specified in individual transaction agreements.

Intellectual Property

The Platform and its original content, features, and functionality are owned by ODATK and are protected by international copyright, trademark, and other intellectual property laws.

Limitation of Liability

To the maximum extent permitted by law, ODATK shall not be liable for:

• • Any indirect, incidental, or consequential damages
• • Loss of profits, revenue, or data
• • Product quality issues from Suppliers
• • Delivery delays or logistics issues
• • Supplier non-performance or bankruptcy

Dispute Resolution

Any disputes arising from these Terms or use of the Platform shall be resolved as follows:

• • First attempt: Negotiation between parties
• • Second attempt: Mediation in Riyadh, Saudi Arabia
• • Final resolution: Arbitration in accordance with Saudi Arabian law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Platform after any changes constitutes acceptance of the new Terms.
